Public Service Commission approves Empire District Electric merger

The Missouri Public Service Commission has approved the merger between The Empire District Electric Company (Empire), Liberty Utilities (Central) Co. (LU Central) and Liberty Sub Corp. As a result, Empire is authorized to merge with Liberty Sub Corp. with Empire being the surviving corporation. LU Central and Liberty Sub Corp. are authorized to acquire all of the stock of Empire.

After reviewing the Applicants’ joint application, the testimony filed in the case, and the reasonable conditions imposed on the merger transaction by the agreements of the parties, the Commission concluded that the merger transaction is not detrimental to the public and should be authorized.

The Empire District Electric Company serves approximately 150,300 electric customers and approximately 4,500 water customers in Missouri. Through wholly-owned subsidiaries, Empire also provides natural gas utility service (to approximately 43,000 customers) and interexchange and private line telecommunications services in Missouri.
LU Central is a wholly-owned subsidiary of Liberty Utilities Co. and is an indirect subsidiary of Algonquin Power & Utilities Corp.
