Nexstar CEO Perry Sook received less pay in 2004 than he did in 2003, according to a proxy statement filed today with the Securities and Exchange Commission. Nexstar Broadcasting owns KSNF and is the de facto owner of KODE in the Joplin television market.
Sook received a salary of $629,827, a bonus of $350,000 and $15,495 in all other compensation, the statement said. The "all other' included his medical insurance, group term life insurance, an automobile allowance, the value of the personal use of his automobile, and a company match on his 401K plan.
Sook's 2003 compensation included $637,962 in salary, $4.3 million in bonus (the company repaid a $4 million loan he had taken out from Nexstar, according to the proxy statement) and $12,844 in "all other" compensation.
Sook's contract runs through 2008. After that, it will renew automatically each year unless either he or the board of directors elects not to renew it. His base salary will increase to $650,000 this year, $675,000 in 2006, $700,000 in 2007, and $750,000 in 2008. Bonuses for reaching his targeted goals may be up to $325,000 this year, $337,500 in 2006, $350,000 in 2007, and $375,000 in 2008.
The proxy statement indicates that Chief Operating Officer Duane Lammers, who has served as point man on the battle over retransmission rights, received a base salary of $304,884 in 2004, with a $125,000 bonus and $11,400 in "all other" compensation. In 2003, Lammers had a $274,808 base salary, received a bonus of $250,000, and picked up $9,164 in "all other" compensation.
